Terms & Conditions

Between the CLIENT on one side, and SIA “Bauer Media Outdoor Latvia” (hereinafter “BMO”) on the other side — the Parties (together “the Parties”, each individually a “Party”) — expressing their free will, without error, fraud or undue pressure, placing an order for outdoor advertising to be placed on BMO advertising structures in Latvia, agree on the following terms for Advertising Placement:

1. Order

1.1. The Client submits to BMO a written or verbal order for outdoor advertising placement on BMO structures (hereinafter “the Order”). The Order becomes binding, and these Advertising Placement Terms are deemed an integral part of the Order, at the moment when BMO signs and sends the Client a confirmation of the Order (hereinafter “Order Confirmation”) and the Parties sign it.

1.2. In the Order, the Client shall indicate the desired number of locations for advertisement placement, the time period for exhibiting the advertising materials on BMO’s structures, the authorised person of the Client to coordinate its execution, and any other information specific to that Order.

1.3. In its Order Confirmation, BMO shall state:

the price for BMO’s services (hereinafter the “Order Price”);

the deadline by which the Client must submit the final advertising materials and the required quantity thereof;

the deadline for any necessary approval of advertising materials;

BMO’s authorised person for coordination of the Order execution;

either confirm the number of locations as indicated by the Client or indicate a different number;

the time period for installation and exhibition of the advertising materials on BMO’s structures;

the method of payment and any other specific conditions for the advertising display.

1.4. Within five (5) business days from the day the mutually agreed Order Confirmation is sent, the Client shall either:
a) send or deliver to BMO the Order Confirmation signed on the Client’s side; or
b) submit a written cancellation of the Order, if the Client is dissatisfied with the terms in BMO’s Order Confirmation.
If the Client does not submit such a written cancellation within five (5) business days, it shall be deemed that the Parties have agreed to the placement of the Client’s advertisement under the terms set out in the Order Confirmation, and the Order Confirmation together with these Advertising Placement Terms shall be binding upon the Client.

1.5. Unless otherwise agreed by the Parties, the price does not include the costs of producing the Client’s advertising materials.

1.6. BMO may unilaterally amend the Order Price in the event that, in the period between BMO’s sending of the Order Confirmation to the Client and the execution of the Order, tax rates, levies or other costs beyond BMO’s control that relate to advertisement placement have changed. In such a case, BMO will inform the Client in good time of the change in the Order Price, stating the reasoning and the calculation of the change. The price stated in such notice will be regarded as the Order Price for the purposes of these Advertising Placement Terms.

1.7. The Client may cancel the Order in writing. The Client shall pay BMO a contractual penalty of twenty percent (20 %) of the price stated in the Order Confirmation if cancellation is submitted later than twelve (12) weeks before the scheduled start of advertising, and one hundred percent (100 %) of that price if cancellation is submitted eight (8) weeks or less before the planned commencement. The Client does not pay a contractual penalty if the cancellation is made within the five (5) business days period set out in clause 1.4.

2. Rights and Obligations of the Parties

2.1. BMO undertakes to place the Client’s advertising materials on BMO structures in accordance with the terms of the Order Confirmation, and the Client undertakes to pay the Order Price in the manner set out in the Order Confirmation. If the Client delays in paying the Order Price, the Client shall pay BMO a contractual penalty of 0.1 % of the overdue amount per day of delay, beginning from the tenth day of delay. In the event of delayed payment, any amounts paid by the Client will first be applied toward the contractual penalty (without separate notice) and the remainder toward the Order Price. Payment of the contractual penalty does not relieve the Client from full performance of its obligations under the Order Confirmation and these Terms.

2.2. BMO is not liable for the technical condition of the placed advertisement during the exhibition period, except for exercising reasonable care. If the Client submits a written complaint about defects or damage interfering with proper exhibition, BMO undertakes to remedy such defects within 48 hours.

2.3. BMO is not responsible for non‑performance or delay in performance due to force majeure. Force majeure includes riots, war, strikes, fire, floods, other natural or man‑made disasters, decisions or measures by state or municipal authorities, or any other events interfering with Order execution beyond BMO’s control. The Parties agree that force majeure also includes: wind speeds exceeding 15 m/s during installation, heavy rain or snowfall, ambient temperature –15 °C or lower, unplanned electricity or water supply interruptions, internet service disruptions, cyberattacks on IT systems.

2.4. The Client is responsible for the content of the advertisement and its compliance with applicable laws and regulations, and for all legal or financial consequences thereof. The Client’s advertising materials must meet BMO’s technical requirements and, by the deadline specified in the Order Confirmation, must be delivered to BMO’s warehouse or another location designated by BMO, at the Client’s cost. 2.5. The Client must respond as required to any comments from state or municipal authorities concerning changes to or approval of the advertising materials, and must revise the materials accordingly. If the Client fails to comply with instructions from governmental or municipal bodies, the Client bears full responsibility and all related legal consequences and costs.

2.6. BMO may refuse to place the Client’s advertising materials and/or will not be liable for breach or delay in cases where:

the Client fails to deliver or approve materials by the deadlines set in the Order Confirmation;

due to inadequate quality, the materials cannot be installed at the scheduled time;

defects must be remedied and materials reinstalled;

installation must be done within a shorter timeframe, is difficult or impossible, due to the Client’s fault;

the Client has not paid the Order Price or any portion thereof, the contractual penalty under clause 1.7, or any other payments set out in the Order Confirmation or these Terms.
In such cases, the Client is not entitled to withhold or delay any payment due under the Order.

2.7. The Client affirms that it will inform all parties with which it conducts business in the outdoor advertising market (including advertisers with whom it has direct relations) of existing discounts and rebate arrangements in the market.

2.8. BMO will commence placing the Client’s advertising materials at the time indicated in the Order Confirmation. Installation time (not exceeding 24 hours) is included within the advertising exhibition period.

2.9. Unless otherwise specified herein, the Parties undertake to maintain confidentiality regarding the content of the Order Confirmation, its annexes, and the mutual obligations set out therein, as well as to prevent disclosure of confidential information by their officers, employees or agents.

2.11. The Client confirms that it has reviewed and accepts the Privacy and Cookie Information published on BMO’s website at www.bauermediaoutdoor.lv

2.12. The Client shall comply with all laws administered by any national or international organisation concerning economic sanctions and trade embargoes applicable to this Agreement (“Sanctions Laws”) regarding designated countries (“Embargo Countries”), regimes, entities and persons (collectively “Embargo Targets”). The Client is not itself an embargo target and is not subject to any applicable Sanctions Laws.

2.13. The Client shall comply with all applicable Sanctions Laws. Any violation—including the Client becoming an embargo target—is a material breach of this Agreement and grounds for immediate termination by BMO. Neither Party shall be liable for failure to perform any obligation under this Agreement (including payment) to the extent such performance would violate applicable Sanctions Laws.

2.14. BMO shall not be liable for non‑performance caused by circumstances beyond its control.

2.15. The Parties agree and undertake to abide by the anti‑bribery, anti‑corruption, tax evasion prevention, and human trafficking and slavery prohibition rules published on BMO’s website at www.bauermediaoutdoor.lv

3. Technical Requirements

By signing the Order Confirmation, the Client confirms that it has received and reviewed the technical requirements to which the advertising materials must adhere for proper high‑quality placement and exposure on BMO structures.

4. Effectiveness of the Advertising Placement Terms

4.1. These Advertising Placement Terms come into force when the Order Confirmation is signed and remain in force until both Parties have fulfilled all their contractual obligations.
4.2. These Terms apply to all of the Client’s Orders submitted to BMO, unless otherwise agreed by the Parties.
4.3. Should any individual provision of these Terms become invalid, it shall not affect the validity of the remaining provisions.

5. Correspondence

All correspondence relating to the Order Confirmation or these Advertising Placement Terms shall be delivered by hand, by post, by courier, or by email to the following contacts (or as specified in the Order Confirmation):

6. Governing Law and Dispute Resolution

The obligations established by the Order Confirmation and these Advertising Placement Terms are governed by the laws of the Republic of Latvia. Any disputes, disagreements or claims arising out of or in connection with these mutual obligations, their non‑performance, termination or invalidity, shall be first attempted to be resolved by negotiations. If no agreement is reached, the dispute shall be resolved in the courts of the Republic of Latvia.

7. Political Advertising

This clause applies only to “political advertising” as defined in Regulation (EU) 2024/900 on transparency and targeting of political advertising (the “Political Advertising Regulation”).

The Client must inform BMO at the time of booking if the advertisement qualifies as political advertising.

The Client represents, warrants and undertakes that:
(i) in cases where the political advertisement is scheduled to run within three months before elections or a referendum in an EU Member State, the Client has the legal right to place such political advertisement under Article 5 of the Political Advertising Regulation; and
(ii) all political advertising will comply with the Political Advertising Regulation.

BMO may raise concerns with the Client about compliance with the Regulation, including concerns arising from its own review or complaints received. The Client shall promptly evaluate any such concerns and, to the extent reasonably possible, remedy them. If the Client fails to respond within 48 hours after BMO expresses concerns, or if BMO reasonably considers that the advertisement may breach the Political Advertising Regulation, BMO may refuse to display the advertisement or remove it pending resolution.

In any event, BMO (acting reasonably) reserves the right to refuse or remove any political advertisement displayed on its structures if it deems such action appropriate or if required by law or regulatory authority.

The Client shall indemnify and hold harmless BMO from any actions, legal proceedings, costs, damages, fines, claims or liabilities arising in connection with the Client’s failure to comply with the Political Advertising Regulation.
